NEW YORK – interCLICK, Inc. (the “Company”) (OTCBB: ICLK), one of the largest advertising networks in the U.S., provided an update on its business outlook for its fourth quarter ending December 31, 2008. The Company now expects revenue for the fourth quarter to exceed $7 million, compared to its previous forecast for revenue to exceed $6.5 million. The Company also anticipates that 4Q08 gross margin will exceed 35%. Previously, interCLICK estimated that gross margin would exceed 31%.

In addition, interCLICK announced that it expects for the fourth quarter to report its first quarter of positive Adjusted EBITDA* since becoming a public company.

“A number of top-tier brands in the retail sector are employing interCLICK’s behavioral targeting platform to reach their target consumers during the holiday peak buying period,” said Michael Mathews, interCLICK’s Chief Executive Officer. “The effectiveness of interCLICK’s behavioral targeting platform led to significant return on ad spend for these retail clients, prompting them to increase their spending — a factor accounting for our higher revenue guidance.”

“The interCLICK team is proud of reaching the point where sustained revenue growth has resulted in generating profits on an Adjusted EBIDTA basis, a meaningful achievement in a difficult economic environment,” said Mathews.

The substantial increase in 4Q08 gross margin guidance from better than 31% to better than 35% reflects gains in interCLICK’s supply chain management capabilities.

The Company now expects full year 2008 revenue to exceed $21 million, compared to its previous forecast for revenue to exceed $20 million.

*Adjusted EBITDA excludes one-time, non-recurring compensation expenses and stock-based compensation expenses (see “Use of Non-GAAP Measures” below).

Use of Non-GAAP Measures

interCLICK, Inc. provides non-GAAP financial information to assist investors in assessing the current performance of its core cash operations in the same manner that interCLICK’s management evaluates these operations. Non-GAAP Adjusted EBITDA is a supplemental measure of interCLICK’s performance that is not required by, and is not presented in accordance with, generally accepted accounting principles (GAAP). The non-GAAP information does not substitute for any performance measure derived in accordance with GAAP. interCLICK, Inc. believes that this non-GAAP information provides useful information to investors by excluding the effect of non-cash expenses and other one-time compensation expenses that are required to be recorded under GAAP.

NEW YORK – interCLICK, Inc. (the “Company”) (OTCBB: ICLK), the fastest growing advertising network in the US according to comScore*, announced today results for the third quarter ended September 30, 2008. Third quarter revenue of $5.76 million increased 65% compared to pro forma revenue for the third quarter ended September 30, 2007 of $3.49 million. Revenue exceeded the Company’s previously announced guidance. interCLICK’s 2008 third quarter revenue increased 23.2% sequentially compared to 2008 second quarter revenue of $4.67 million.

Gross profit for the 2008 third quarter was $1.79 million, a 31.1% gross margin representing a sequential increase of 415 basis points from the prior quarter’s 27% gross margin. Gross margin gains are attributable to high client retention, successful delivery of higher quality brand campaigns and improved supply chain management.

The Company’s 2008 third quarter operating loss from continuing operations was ($1.42) million, including $0.61 million in non-cash items such as stock-based compensation, intangible amortization and depreciation. This compares with a 2008 second quarter operating loss from continuing operations of ($2.30) million, including $0.66 million in non-cash items.

Meanwhile, as noted previously, the Company’s balance sheet has improved since the end of the 2008 third quarter as the Company has entered into a one-year $3.0 million revolving credit facility that is expected to support working capital requirements in the Company’s seasonally strong fourth quarter of its fiscal year as well as provide a foundation for continued growth in 2009.

“Despite a challenging period for companies relying on advertising spending, including many of our peers who provide Internet marketing services, interCLICK’s revenue growth has significantly outperformed its competitors as the Company has gained market share,” said Michael Mathews, interCLICK’s Chief Executive Officer. “At a time when companies are relentlessly focused on return on investment on their advertising budgets, interCLICK has been able to consistently deliver to our advertisers’ expectations.”

Business Outlook:

interCLICK reiterated its 2008 fourth quarter and full-year outlook. The Company expects fourth quarter revenue to exceed $6.5 million and 2008 full-year revenue to exceed $20.5 million.

For 2009, the Company expects revenue to grow by at least 60% from expected 2008 levels.

NEW YORK & WASHINGTON – interCLICK, Inc. (OTCBB: ICLK), the fastest growing ad network in the US(1) and The Humane Society of the United States have teamed up to raise awareness of Proposition 2, the Prevention of Farm Animal Cruelty Act, an initiative that will appear on California’s November 2008 ballot. A “YES” vote passing Proposition 2 will improve food safety and reduce animal suffering.

interCLICK is supporting The Humane Society’s Prop 2 awareness campaign by running a series of banner ads across its network, free of charge, through election day on November 4. The ads will appear across interCLICK’s network that reaches two thirds of the US online population.

“All animals, including those raised for food, deserve humane treatment. Passing Prop 2 will alleviate some of the worst abuses of animals on factory farms,” said Carrie Lewis, internet marketing manager for The Humane Society of the United States. “We are deeply appreciative of interCLICK’s efforts to support this cause and the use of its online advertising reach and resources to encourage voters to take action on November 4 in favor of this initiative.”

Prop 2 will provide more humane treatment of millions of farm animals by phasing out their confinement in small crates and cages. The law would take effect in 2015 and reduce the suffering of nearly 20 million animals confined on California factory farms. In addition to helping prevent cruelty to animals, Prop 2 was created to achieve related goals including improving consumer health and safety, supporting family farmers, and safeguarding the environment by protecting air and water.
“As one of the nation’s largest ad networks, we are in a fortunate position to be able to support causes, like California’s Prop 2, by donating free ad impressions to raise awareness and encourage voter participation,” said Michael Katz, president, interCLICK, Inc. “We applaud the commitment of The Humane Society for its support of this initiative to protect animals from unacceptable abuse and we stand behind their efforts 100 percent.”

NEW YORK – interCLICK, Inc. (OTCBB: ICLK), the fastest growing ad network in the US(1), announced that the Company has entered into a $3 million revolving credit facility with Silicon Valley Bank to finance up to $3.75 million of its accounts receivable. The credit facility’s interest rate is Prime Rate plus 2%. This financing is expected to support working capital requirements as the Company enters the seasonally strongest fourth quarter of its fiscal year as well as provide a foundation for continued growth in 2009.

Recently the Company improved its balance sheet through the repayment of a 12% senior secured promissory note issued by interCLICK which had a face value of approximately $1.7 million as of June 30, 2008, with the new credit facility and a $1.3 million 6% subordinated note.

“We believe this new credit agreement, at a time when capital has been very difficult to secure for small companies, will help support our growth and working capital needs during the fourth quarter and beyond,” said Michael Mathews, interCLICK’s Chief Executive Officer. “interCLICK now has not only the financial strength to pursue revenue growth in the fourth quarter but also to execute its 2009 strategic plan that calls for sustaining its growth trajectory.”

The Company also announced preliminary revenue and results for its third quarter ended September 30, 2008. The Company expects to report revenue exceeding $5.7 million, representing a 22% sequential quarterly increase compared to the 2008 second quarter. Gross margin is expected to exceed 30%, compared to 27% in the 2008 second quarter.

“During a highly challenging economic environment, we are pleased to report another record quarter of results,” said Michael Mathews, interCLICK’s Chief Executive Officer. “Our impressive growth and improved margins were a result of interCLICK’s reach now extending to 65% of the U.S. Internet population from 60% in the 2008 second quarter, the Company’s national sales force expansion, and the continued shift towards higher margin CPC and CPM revenues, which were more than 85% of total revenue in the quarter.”

The Company expects to announce third quarter results during the first two weeks of November.

(OTCBB: ICLK), the fastest growing ad network in the US(1), announced today that it has repaid the balance of the 12% senior secured promissory note (the “Note”) issued by the Company to Longview Marquis Master Fund, L.P. in the initial principal amount of $4,388,889, which was due on September 29, 2008. The Note, which had a face value of approximately $1.7 million as of June 30, 2008, was secured by a first security interest on all of the Company’s and its subsidiaries’ assets.

“The repayment of the Note increases the Company’s financial flexibility and should improve its ability to secure a revolving credit facility to support working capital requirements as it enters the seasonally strongest period of its year,” said Michael Mathews, CEO. “As a result of the significant improvements to interCLICK’s balance sheet, we believe the Company is well positioned to continue to invest in its businesses to support further growth.”
